We are a global team based in the United Kingdom, Singapore, Dubai, Poland, and the United States.
Please note, Nomia operates on a hybrid model, with 3 days a week in the office, and 2 days a week working remotely.
The Role
You will join the Legal Team at Nomia as a senior member, providing pragmatic legal support to members of the business in their day to day activities, for example the sales, pre-sales, operational, HR, finance, procurement and management teams. As a Senior Contracts Manager, you will take a lead role on the customer side of the contracting process, owning the drafting, negotiation and finalisation of customer agreements and acting as a trusted legal point of contact for key customer relationships.
The legal team is responsible for negotiating, drafting and reviewing commercial contracts between Nomia and third party suppliers, as a reseller for its various customers. The aim is to ensure that risk to Nomia is minimal and to ensure compliance with applicable law at all times. The team provides pragmatic advice and guidance on legal and compliance issues that may affect our business in multiple jurisdictions in which we operate.
This is a senior role, and we expect you to bring significant contracts experience, the confidence to lead on complex, high-value negotiations, and the judgement to act as an escalation point for the wider team. We want you to challenge your own experience and expertise so that you continue to improve your contribution to the business, and to be open to new ways of working and prepared to propose new methods and processes to the team.
Responsibilities
Lead on the most complex, high-value and strategically significant contracts and negotiations, acting as a point of escalation and a technical reference point for the wider legal team;
Take a lead role in the customer-side contracting process, drafting, negotiating and finalising customer agreements to ensure commercial terms align with both customer requirements and Nomia's risk position;
Act as a senior legal point of contact for key customer relationships across the full contract lifecycle, from pre-sales support through to renewal;
Provide practical, commercial and concise advice, guidance and support on contract terms, legal issues and business risks;
Review and amend terms in a variety of agreements including supplier and customer contracts, software licences, SaaS agreements, Purchase Order terms, EULAs, master service agreements and related SOWs, agency and service provision agreements;
Negotiate with customers and suppliers in line with business requirements and company policies to achieve business objectives and the required allocation of risk;
Manage and maintain contracts registers and contract management systems;
Work closely with various departments to on-board new suppliers and customers;
Research legal and regulatory issues which arise from time to time;
Instruct external legal counsel in non-UK jurisdictions or for specific legal expertise and apply the advice to the situation;
Create new business templates and keep existing business legal templates up to date and relevant;
Make a positive contribution towards the operation of the team by suggesting any improvements you feel may contribute to the more effective or efficient operation of the team;
Keep your line manager up to date with your workload and any issues that you feel are relevant to the business and your role;
Understand and follow the processes and procedures adopted by the team and the business from time to time and which are relevant to you;
Develop as a contract manager and business person;
Make use of the team's training, research, precedent and technology resources to optimise the individual and the teams service delivery;
Assist with the creation, maintenance and update of internal policies and processes relating to the legal function.
Skills/Qualifications
Legal training (for-example, law degree, LPC, GDL) and proven practical experience to demonstrate solid understanding and application of fundamental legal principles, particularly in relation to commercial contracts
In house experience across a range of commercial agreements, preferably in the IT industry, reseller for a multi-national business
Good knowledge of contract law and some knowledge of cross-border agreements and the additional complications they pose to the parties
A good understanding of data protection legislation and its relevance to commercial transactions
Ability to take initiative and work independently as well as part of a team
Confident in own skills in order to make decisions which align with the law and the businesses requirements
An ability to operate to deadlines and prioritise workload for the benefit of the business
Good business judgement, understands commercial pressures and implications
Strong organisational and time management skills
High level of attention to detail
Excellent written and oral communication skills, in particular able to communicate appropriately with key stakeholders without using jargon or overly legalistic language to facilitate good understanding of the issues by all parties and enable sound decision making
Able to write clear, concise and understandable communications including legal agreements, associated correspondence and advice
Computer literate with strong skills in Office 365 suite
Good negotiation skills to help to seek positive business outcomes and maintain positive relations with customers and suppliers
Adaptable and able to work flexibly in the context of a medium sized growing business
A positive approach to their work and a team-player, working in a collaborative way to share knowledge and workload appropriately and to keep all stakeholders informed and up to date.
